By engaging the services of Brooks & Dom Transportation LLC, whether through our digital platform, signed transport agreements, or verbal instruction for freight movement, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between Brooks & Dom Transportation LLC and the Shipper, Consignee, or Broker engaging our logistics services.

Brooks & Dom Transportation LLC provides professional freight transportation, long-distance truckload hauling, intermodal solutions, and specialized distribution services from our hub in Owatonna, MN. Our services include, but are not limited to, the transport of data center equipment, battery manufacturing components, and general freight warehousing within our secure facilities.

All price quotations provided by Brooks & Dom Transportation LLC are based on current market fuel surcharges, equipment availability, and the specific freight details provided by the client. Quotes remain valid for a period of 7 calendar days unless otherwise specified in writing. We reserve the right to adjust rates if the nature of the cargo, weight, or delivery timeline changes significantly from the initial request.

Invoices are issued upon delivery of freight or completion of the service milestone. Standard payment terms are Net 30 days from the invoice date. Late payments are subject to a late fee of 1.5% per month on outstanding balances. Failure to remit payment may result in a suspension of ongoing transit services and the placement of a carrier's lien on freight currently in our possession.

The Shipper is responsible for ensuring all cargo is properly packaged, crated, and labeled to withstand the rigors of transit. All documentation, including Bills of Lading and hazardous materials declarations, must be accurate and provided prior to pickup. The Shipper warrants that the freight does not contain contraband or materials that violate federal transportation safety regulations.

Brooks & Dom Transportation LLC maintains industry-standard cargo insurance. Our liability for loss or damage is limited to $0.50 per pound or the actual value of the goods, whichever is less, unless a higher value is declared in writing at the time of booking and additional premiums are paid. All claims for damage must be noted on the Bill of Lading at the time of delivery and filed in writing within 15 days of the delivery date.

This transport agreement and all services provided by Brooks & Dom Transportation LLC are governed by the laws of the State of Minnesota. Any legal actions or proceedings arising from these terms shall be instituted in the courts of Owatonna or the relevant federal district court within Minnesota.

In the event of a dispute, both parties agree to attempt a good-faith resolution through direct negotiation. If a resolution cannot be reached within 30 days, the parties agree to submit the dispute to binding mediation prior to the commencement of any formal litigation.
